Terms of Service

These Terms of Service ("Terms") govern your access to and use of Accelr, a product of Accelr Technologies ("Company", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using Accelr on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. The Service

Accelr is a B2B SaaS CRM platform that provides:

• Lead capture and management from Meta, Google, LinkedIn, and website forms
• WhatsApp Business messaging via Meta Cloud API
• Call logging integrations (Twilio, JustCall, Exotel, Knowlarity, MyOperator, FreeJun)
• Sales pipeline management
• Ad spend analytics
• Team collaboration tools
• Booking and calendar management

2. Account Registration

To use Accelr you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately at developer@megamind.studio of any unauthorized access

You are responsible for all activity that occurs under your account.

3. Subscriptions and Billing

3.1 Plans

Accelr offers paid subscription plans (Starter, Growth, Scale) billed monthly or annually. Plan details, pricing, and included features are listed on our pricing page.

3.2 Free Trial

New accounts receive a 14-day free trial with no credit card required. At the end of the trial, you must subscribe to continue using the Service.

3.3 Payment

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are in Indian Rupees (INR) unless otherwise stated. Prices exclude applicable taxes (GST).

3.4 WhatsApp Conversation Credits

WhatsApp conversation credits apply only to messages sent through our native WhatsApp (Meta Cloud API) integration. One credit covers a single conversation with a recipient within a rolling 24-hour window — all messages exchanged with that recipient during the window are included in that one credit. Messages sent through third-party providers you connect yourself (such as Wati or AiSensy) do not consume credits, as those are billed directly by the respective provider.

Credits are purchased in packs and are non-refundable once a conversation has been opened against them. Credits are workspace-specific and cannot be transferred between workspaces. Credits remain valid while your account is active.

3.5 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be refunded within 7 days of purchase if you have not used the Service. After 7 days, no refunds are issued for annual plans. Refund requests must be submitted to developer@megamind.studio.

3.6 Price Changes

We reserve the right to change pricing with 30 days' advance notice via email. Your subscription rate is locked for the current billing cycle.

4. Acceptable Use

You agree not to use Accelr to:

• Send spam, unsolicited messages, or violate WhatsApp's Business Policy or Meta's Platform Terms
• Send messages to individuals who have not consented to receive communications from your business
• Store or transmit unlawful, defamatory, fraudulent, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or extract source code from the Service
• Resell or sublicense the Service without written permission
• Use the Service for any illegal purpose or in violation of any applicable law including India's IT Act and DPDP Act
• Interfere with the Service's operation or infrastructure

Violation of this section may result in immediate account suspension without refund.

5. WhatsApp and Third-Party Integrations

When you use WhatsApp features through Accelr, you agree to comply with:

• WhatsApp Business Policy
• Meta Platform Terms
• Terms of any other integrated provider (Google, LinkedIn, Twilio, etc.)

You are solely responsible for ensuring your use of WhatsApp through our platform complies with applicable regulations including obtaining proper consent from recipients before messaging them.

We are not responsible for any suspension or restrictions applied to your WhatsApp Business Account by Meta as a result of your usage.

6. Artificial Intelligence (AI) Features and Disclosures

Certain features of Accelr, including pipeline health feedback, bottleneck analysis, and executive summaries within the Report Builder, utilize advanced machine learning models provided by external artificial intelligence engines (specifically Google Gemini API and OpenAI API).

By using these features, you acknowledge and agree that:

• Relevant operational data (such as campaign performance, lead stages, activity logs, and system summaries) will be shared with the AI providers for processing.
• We do not share highly sensitive customer information (such as credit card numbers, financial accounts, or passwords) with third-party AI engines.
• Data processed by these AI engines is handled strictly to generate in-app analytics and summaries. The AI providers are contractually prohibited from using your data to train their models.

7. Your Data

You retain full ownership of all data you input into Accelr (leads, messages, notes, etc.). You grant us a limited, non-exclusive license to process that data solely to provide the Service.

We do not claim ownership over your business data. On account termination, you can export your data before deletion.

8. Intellectual Property

Accelr, its logo, design, code, and features are the intellectual property of Accelr Technologies. You may not copy, modify, or create derivative works of the Service without our written permission.

Feedback and suggestions you provide may be used by us to improve the Service without any obligation to compensate you.

9. Uptime and Service Availability

We target 99.5% monthly uptime for the Service. Scheduled maintenance, third-party outages (Meta, Supabase, Vercel), and force majeure events are excluded from uptime calculations.

We do not guarantee uninterrupted service and are not liable for losses caused by downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Accelr is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim
• We are not liable for any data loss — you are responsible for maintaining backups of critical data

11. Indemnification

You agree to indemnify and hold harmless Accelr Technologies, its officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third-party rights or applicable law
• Any WhatsApp messages or communications sent through your account

12. Termination

12.1 By You

You may cancel your subscription at any time from the Billing page. Access continues until the end of the current billing period. No refund is issued for unused time on monthly plans.

12.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is involved in fraud or abuse
• We are required to do so by law
• Your payment fails and is not resolved within 7 days

12.3 Effect of Termination

On termination, your access to the Service ends. You have 30 days to export your data before it is permanently deleted.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before filing any legal claim, you agree to attempt to resolve the dispute by contacting us at developer@megamind.studio. We will try to resolve it within 30 days.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and via an in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
